FRIENDS OF SKIPTON MUSIC CENTRE
CONSTITUTION

  1. The name of the organisation shall be "Friends of Skipton Music Centre".

  2. The word "FOSMusic" is an acronym for Friends of Skipton Music Centre.

  3. The objective of FOSMusic is to advance the education of students attending Skipton Music Centre, hence referred to as the "Centre", at Aireville School, Skipton or whatever other venue may from time to time be in use by providing and assisting in the provision of facilities at the Centre (not normally provided by the music service through the local Education Authority).

    Specific aims are to:

    1. Promote access to music for all music students drawn from the Craven District area.

    2. Provide support for staff and students in the operation of Skipton Music Centre.

    3. Encourage the use of the Centre for all individuals who have an interest in music, and assist in providing support for those who may have difficulty affording the ensemble, tuition fees and instruments.

    4. Raise money to buy instruments and sheet music to provide access to music for all students.

    5. Publicise and promote the work carried out at the Music Centre in order to facilitate fund raising and build links with the local community.

    6. Provide the practical and operational support in the staging of concerts and other performances.

  4. Membership of FOSMusic shall be open to all adult students, and parents or guardians of students attending Skipton Music Centre.

  5. An Annual General Meeting (AGM) shall be normally held during the first half of the autumn term when business shall include the election of officers and of the Committee, the appointment of an auditor and the consideration of audited accounts.

  6. The elected office bearers of FOSMusic shall be:

    Chairperson
    Honorary Secretary
    Honorary Treasurer

  7. All members of the Committee may at each AGM put themselves forward for re-selection for a further term of office. Parents or guardians whose children have ceased to be members of Skipton Music Centre during the course of a particular year may retain their membership during the course of that year only.

  8. Meetings and vacancies:

    1. The Committee shall meet as often as necessary to conduct the business of FOSMusic.

    2. Any casual vacancy on the Committee may be filled by the Committee until the next Annual General Meeting.

    3. The Committee shall have power to co-opt persons to serve on the Committee provided that the number of such co-opted members shall not exceed one fourth of the total number of elected members serving on the Committee.

  9. The Honorary Secretary shall keep the Minutes of all Annual and specific General Meetings of the 'Friends' and all meetings of the Committee.

  10. All questions arising at any AGM of FOSMusic or meeting of the Committee, including the dissolution of FOSMusic and the amendment of this constitution, shall be decided by a simple majority of those present and entitled to vote. At any General Meeting each member shall be entitled to one vote, irrespective of the number of students in the family at the Centre. At any General Meeting or Committee Meeting where there is an equality of votes, the Chairman shall have a second or casting vote.

  11. There shall be no annual subscription.

  12. Financial arrangements:

    1. The Honorary Treasurer shall keep accounts of all receipts and expenditure.

    2. A bank account shall be maintained at such bank as the Committee may decide and withdrawal shall be made on the signature of any two of the Chairman, Honorary Secretary, Honorary Treasurer and one Committee member.

    3. An audited statement of accounts for the last financial year ending 31 August shall be submitted by the Committee to the Annual General Meeting.

  13. The quorum for a meeting of the Committee shall be 4 and for any General Meeting 8.

  14. Musical instruments, equipment, musical scores and other items purchased by FOSMusic for Skipton Music Centre shall be for the use of Skipton Music Centre only.

  15. An Extraordinary General Meeting shall be convened at any time at the direction of the Committee or within 21 days of the receipt by the Honorary Secretary of a request to do so signed by at least 10 members of the Group stating reasons for such request. At least 7 days notice in writing of any General Meeting shall be given by the Honorary Secretary to all members.

  16. If the Committee decides that at any time it is necessary or advisable to dissolve the 'Friends' it shall call an Extraordinary General Meeting stating the terms of the resolution to be proposed and if such a resolution is passed at such a meeting the Committee shall have power to dispose of the assets held by and in the name of FOSMusic and any assets remaining after the satisfaction of any proper debts and liabilities shall not be distributed among the members of FOSMusic but shall be given to the managing body of Skipton Music Centre for the benefit of the students of Skipton Music Centre in any manner which is exclusively charitable at law or if closure of the Centre be the reason for the dissolution of FOSMusic to any charitable organisation pertaining to music or musicians which shall be proposed in a resolution passed at such an Extraordinary General Meeting.

  17. This constitution may be amended only by a resolution passed at any General Meeting of FOSMusic provided that notice of the meeting in writing stating the terms of the resolution to be proposed shall have been sent to all members not less than 7 days before the date of the meeting.
